Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Team Procure Inc. (“Team Procure”, “we”, “us”, or “our”) governing your access to and use of Procureth, including the website, web application, AI features, and related services (the “Services”).

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Services. Where you have signed a separate order form or master agreement with us, that agreement prevails over these Terms to the extent of any conflict.

The Services are intended for business and professional use by individuals at least 18 years old. You must provide accurate registration information, keep your credentials confidential, and are responsible for all activity under your account and workspace. Workspace administrators control user access and are responsible for their users’ compliance with these Terms. Notify us immediately at support@teamprocure.com of any unauthorized use.

Procureth provides AI-assisted tools for market research, supplier discovery and profile enrichment, technical document generation, RFI/RFP/RFQ creation and distribution, supplier response collection, and quote analysis. Features vary by plan as described on our pricing page.

We may improve, modify, or discontinue features from time to time. We will not materially reduce the core functionality of a paid subscription during its current term without notice.

The Services use artificial intelligence to generate content, research results, supplier information, and analysis (“Output”). You acknowledge that:

• Output may be inaccurate, incomplete, or outdated, and similar requests may produce different results.
• Supplier information is compiled from public and third-party sources; we do not endorse, vet, or guarantee any supplier, its capabilities, certifications, pricing, or performance.
• You are responsible for reviewing Output, verifying supplier information, and approving any document, invitation, or award before it is sent or relied upon.
• Output does not constitute legal, financial, engineering, or other professional advice.

Subject to these Terms, as between you and Team Procure, you own the Output generated for you, to the extent permitted by law.

You retain all rights in the data, documents, files, and information you or your users submit to the Services (“Customer Content”). You grant Team Procure a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide, secure, and support the Services.

You represent that you have all rights and consents necessary to submit Customer Content, including supplier contact information and any third-party materials, and to send communications to suppliers through the Services. We do not use Customer Content to train generalized AI models. Our handling of personal data is described in our Privacy Policy.

You agree not to, and not to permit others to:

• Send unsolicited bulk messages, spam, or communications that violate anti-spam laws such as CAN-SPAM, CASL, or applicable e-privacy rules.
• Upload unlawful, infringing, defamatory, or malicious content, or content you lack the right to share.
• Use the Services to violate export controls, sanctions, anti-bribery, or competition laws, including bid rigging or price fixing.
• Reverse engineer, scrape, or copy the Services, or use them to build a competing product.
• Probe, disrupt, or circumvent security, usage limits, or access controls.
• Misrepresent your identity or affiliation in communications with suppliers.

Paid plans are billed in advance on a monthly or annual basis at the prices shown at purchase or in your order form. Subscriptions renew automatically for the same term unless cancelled before the renewal date. Fees are non-refundable except as required by law or expressly stated otherwise.

Fees exclude taxes, which you are responsible for (other than taxes on our income). We may change prices on renewal with at least 30 days’ notice. Late payments may result in suspension of paid features after notice. Free plans may be subject to usage limits and may be changed or discontinued.

Team Procure and its licensors own all rights in the Services, including software, models, designs, trademarks, and documentation. Except for the limited right to use the Services under these Terms, no rights are granted to you. If you provide feedback or suggestions, we may use them without restriction or obligation to you. “Procureth” and “Team Procure” and associated logos are trademarks of Team Procure Inc..

The Services may link to or interoperate with third-party websites, integrations, and AI providers. Your use of third-party services is governed by their own terms, and we are not responsible for their content, availability, or practices.

Each party will protect the other’s non-public business, technical, and financial information disclosed in connection with the Services using at least reasonable care, and will use it only to perform under these Terms. This obligation does not apply to information that is public, independently developed, or rightfully received without restriction, or that must be disclosed by law.

Except as expressly stated in these Terms, the Services and all Output are provided “as is” and “as available”. To the maximum extent permitted by law, Team Procure disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, and does not warrant that the Services will be uninterrupted or error-free.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity. Team Procure’s total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid for the Services in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (US$100) if you have not paid any fees.

You will defend and indemnify Team Procure and its affiliates, officers, and employees against third-party claims arising from your Customer Content, your communications with suppliers, or your breach of these Terms or applicable law, and pay resulting damages and reasonable costs finally awarded or agreed in settlement.

These Terms apply while you use the Services. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access immediately if you materially breach these Terms, create security or legal risk, or fail to pay. Upon termination, your right to use the Services ends, and you may export Customer Content for 30 days, after which we may delete it in accordance with our Privacy Policy. Sections that by their nature should survive will survive termination.

These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict-of-law rules. The state and federal courts located in Ada County, Idaho will have exclusive jurisdiction, and each party consents to that venue. Before filing a claim, each party agrees to attempt in good faith to resolve the dispute informally for 30 days. Nothing prevents either party from seeking injunctive relief to protect its intellectual property or confidential information.

These Terms, together with any order form and the Privacy Policy, are the entire agreement regarding the Services. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We may update these Terms by posting a revised version and, for material changes, notifying account owners at least 30 days in advance.
